This Third-Party Code Policy supplements the Origin Ledgers Customer Agreement (or any other agreement entered into between the Customer and Origin Ledgers, collectively referred to as the “Agreement”). Capitalized terms used but not defined in this Policy have the meanings assigned to them in the Agreement.
Origin Ledgers’ products and services may incorporate code, software components, or libraries that are licensed from third parties, including open-source and proprietary software (collectively, “Third-Party Code”). These components are integral to the operation, functionality, and performance of our products.
Origin Ledgers respects the rights of third-party licensors and complies with all associated license obligations. The use of such Third-Party Code is governed by the applicable license terms accompanying those components, which may include, but are not limited to, open-source software licenses.
Where required, Origin Ledgers makes available a list of included Third-Party Code and their respective license terms upon request or within the product documentation. By using Origin Ledgers products, the Customer acknowledges and agrees to the use of such Third-Party Code under its applicable licenses.
This Policy ensures transparency regarding the inclusion of third-party technologies and reinforces Origin Ledgers’ commitment to open-source compliance, intellectual property integrity, and responsible software governance.
1. Open Source Software in the Products
1.1 Open Source Software
Certain Origin Ledgers Products include third-party technologies governed by open-source or source-available licenses that regulate the Customer’s rights to use, copy, modify, or redistribute those components (“Open Source Software”).Where required, Origin Ledgers provides attribution for all Open Source Software included in a Product, in accordance with the applicable license terms.These licenses may grant the Customer specific rights beyond those in the Agreement, but such rights apply only to the relevant Open Source Software and not to the Origin Ledgers Product as a whole.
1.2 Source Code Requests
If the Open Source Software license grants the Customer the right to obtain the corresponding source code for the binary distributed by Origin Ledgers, and such source code was not provided with the Product, the Customer may request a copy by contacting legal@originledgers.com.
To process the request, please include:
- The name of the Open Source Software for which source code is requested.
- The Product name and date of the Customer’s Order.
- The Customer’s legal entity name (if applicable) and requester’s name.
- A return mailing address and email address.
Origin Ledgers may charge a reasonable fee to cover the cost of physical media and processing.
2. Combining the Products with Other Software
The Customer may modify Origin Ledgers Products only as expressly permitted under the “Modifications” section of the Agreement. In connection with any permitted modifications, the Customer must not:
a. Combine or distribute Origin Ledgers Products with any other software (including Open Source Software) in a manner that would cause the combined software to be subject to a license requiring that it be made available in source code form or subject to similar disclosure obligations; or
b. Grant rights or waivers to any third party that would affect Origin Ledgers’ or its licensors’ intellectual property or proprietary rights in the Products.
These restrictions ensure that proprietary Origin Ledgers technologies remain protected and compliant with applicable license conditions.
3. Commercial Third-Party Code in the Products
3.1 Commercial Components
Origin Ledgers Products may also include software components that are licensed commercially from third-party vendors (“Commercial Components”).Customers may use such components only as part of and through the Origin Ledgers Products, in accordance with the Agreement and any applicable third-party license terms.
3.2 Restrictions
Customers must not (and must not permit others to):
a. Access or use any Commercial Component — including APIs, databases, tools, or submodules — separately from the rest of the Origin Ledgers Product, whether for production, testing, or support purposes; or
b. Modify, alter, or adapt any Commercial Component, even if source code is provided, unless explicitly authorized by Origin Ledgers or the relevant licensor.
3.3 Commercial Component Licensors
Each applicable third-party licensor (“Commercial Component Licensor”) retains full ownership and intellectual property rights in its respective component.Commercial Component Licensors — and other licensors whose software is included in Origin Ledgers Products — are intended third-party beneficiaries of the Agreement, and may enforce relevant provisions directly against the Customer as they pertain to their licensed items.
Customers are responsible to the applicable Commercial Component Licensor for any breach of the Agreement (including this Policy) relating to the licensed components.However, Commercial Component Licensors do not assume any ofOrigin Ledgers’ obligations under the Agreement.To the maximum extent permitted by law, no Commercial Component Licensor shall be liable to the Customer for any damages arising from the use or inability to use the Products or related components.
4. Transparency and Compliance
Origin Ledgers is committed to transparency and full compliance with open-source and third-party software obligations.A list of all incorporated open-source components and their respective licenses is available in the Product documentation or upon request.By using Origin Ledgers Products, the Customer acknowledges and agrees to the inclusion and governance of such third-party components as described in this Policy.
5. Updates to This Policy
Origin Ledgers may update or modify this Third-Party Code Policy from time to time to reflect changes in legal requirements, licensing terms, or third-party component usage.Any updates will take effect upon posting the revised version on Origin Ledgers’ official website or within the applicable Product documentation, unless otherwise specified.
Origin Ledgers encourages Customers to review this Policy periodically to stay informed about any updates or changes. Continued use of the Products after the effective date of a revised Policy constitutes acceptance of the updated terms.
If material changes are made, Origin Ledgers will provide reasonable notice to affected Customers, such as by email or through in-product notifications.
